A clear agreement for your business

ExpressISP is provided by Incredibill Inc. You manage your services and customer relationships; these terms explain the responsibilities that come with using the platform. Please read the full terms below.

About these terms

ExpressISP is a billing, customer management, and RADIUS authentication platform provided by Incredibill Inc. (“we”, “us”, or “our”). These Terms of Service govern your access to the ExpressISP platform and its associated features, customer portals, and services (the “Services”).

By registering for an account or using the Services, you agree to these terms and our Privacy Policy (together, the “Agreement”). If you use ExpressISP on behalf of an organisation, you confirm that you have authority to accept this Agreement for that organisation. If you do not agree, you must not use the Services.

ExpressISP provides software for Internet Service Providers (ISPs) and Managed Service Providers (MSPs). Your organisation remains responsible for the internet access and other services it supplies to its customers, including its customer contracts, pricing, taxes, regulatory obligations, and privacy notices.

Accounts and security

You must provide complete and accurate account information and keep it up to date. The Services are not directed to children under 13, and anyone registering an account must be at least 13 years old and have the legal capacity or authority to enter into this Agreement.

You are responsible for activity under your account, the users you authorise, and the security of your passwords, API credentials, and network configuration. Ensure that your authorised users comply with these terms and notify us promptly if you discover unauthorised access or another security breach.

We are not responsible for losses arising from your failure to protect your account or from acts or omissions by you or your authorised users.

Services and support

Available features depend on your service plan and configuration. They may include recurring, prepaid, or postpaid billing; customer and service management; RADIUS authentication and accounting; hotspot access; and provisioning integrations.

ExpressISP is designed for self-service operation. Documentation and community assistance are available through the ExpressISP community. Paid support is optional and billed by time at the rates agreed when you request it. Any separately agreed support or service commitments apply as specified in that agreement.

We may update the Services, including features and software, and these terms apply to those updates. Where we configure HTTPS for a custom domain you provide, you authorise us to request and manage the certificates needed for that purpose on the domain registrant’s behalf.

Fees and renewal

You agree to pay the fees, taxes, and billing schedule shown when you select a service plan or paid service, or as otherwise agreed in writing. Subscription fees are charged in advance for the applicable monthly or annual period unless your service agreement states otherwise.

Subscriptions renew automatically at the then-applicable rate unless you notify us before the end of the current subscription period that you wish to cancel. You authorise us to collect renewal fees and applicable taxes using the payment method on file.

You may cancel a subscription through the available account controls or by contacting us. Cancelling a subscription does not remove amounts already due. Except where required by law or expressly agreed otherwise, fees already paid are not refundable.

Acceptable use

You are responsible for the information, products, services, and other material you make available through ExpressISP. Your use of the Services must comply with applicable laws, including privacy, consumer protection, intellectual property, export control, and sanctions requirements.

  • Do not use the Services for unlawful, fraudulent, infringing, or abusive activity.
  • Do not upload malicious software, attempt unauthorised access, interfere with the platform, or compromise other users’ systems or data.
  • Only submit customer information that you are authorised to collect and use, and obtain any required notices, permissions, or consents.
  • Do not misrepresent your identity or offer products or services that you have no right to supply.

We may refuse or remove material that violates these terms or is harmful, and may suspend or terminate access in response to misuse. To report a suspected violation, contact Incredibill Inc.

Your data and content

You retain ownership of the data and content you submit. You grant us a worldwide, royalty-free, non-exclusive licence to host, reproduce, process, transmit, and display that material as needed to provide the Services, including your customer portals and configured integrations.

You are responsible for the accuracy and lawfulness of your data and for the instructions you give us when configuring the platform. Our handling of personal information is described in the Privacy Policy.

When you delete records or content, we will use reasonable efforts to remove them from active use. Cached copies, references, backups, or records that must be retained may not disappear immediately.

Third-party services

ExpressISP may connect to payment gateways, messaging providers, network equipment, and other third-party services that you configure. Those services are subject to their providers’ terms and privacy policies. You are responsible for maintaining any required third-party accounts and authorisations.

We do not control third-party services or websites and do not endorse their content simply by linking to or integrating with them. We are not responsible for their content, availability, actions, or omissions. Take appropriate precautions when using external services or downloading material.

Intellectual property

This Agreement does not transfer ownership of ExpressISP or any Incredibill Inc. or third-party intellectual property to you. ExpressISP, its branding, and the software and materials we provide remain the property of their respective owners. Access to the Services does not grant you permission to reproduce our trademarks or branding.

If you believe material available through ExpressISP infringes your copyright or other intellectual property rights, contact us with enough information to identify the material and your rights. We will respond as required by applicable law and may remove infringing material or terminate access for repeat infringement.

Changes to these terms

We may revise these terms as the Services evolve. If a change is material, we will give notice by email, through the Services, or another appropriate communication before it takes effect. The notice will explain when the revised terms apply and allow a reasonable period for you to decide whether to continue.

If you disagree with a change, stop using the Services within the notice period and cancel any subscription you do not wish to renew. Continuing to use the Services after the change takes effect means you accept the revised terms. Disputes arising before a change remain subject to the terms in effect when the dispute arose.

Suspension and termination

We may suspend or terminate access to all or part of the Services at any time, with or without cause or notice, subject to applicable law and any separate written agreement. You may stop using the Services and close your account; any recurring subscription must also be cancelled as described in Fees and renewal.

Provisions that by their nature should continue after termination remain in effect, including ownership, payment obligations already incurred, warranty disclaimers, limitations of liability, indemnification, and dispute provisions.

Warranty disclaimer

To the extent permitted by applicable law, the Services are provided “as is” and “as available”. Incredibill Inc., its suppliers, and licensors disclaim warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be error-free or continuously available. You use the Services and obtain any related content at your own discretion and risk. Nothing in these terms excludes a warranty or right that applicable law does not allow to be excluded.

Limitation of liability

To the extent permitted by applicable law, Incredibill Inc., its suppliers, and licensors will not be liable under any contract, negligence, strict liability, or other legal theory for special, incidental, or consequential damages; the cost of substitute products or services; interruption of use; or loss or corruption of data.

Our aggregate liability arising from this Agreement will not exceed the fees you paid us under this Agreement in the twelve months before the event giving rise to the claim. We are not liable for a failure or delay caused by circumstances beyond our reasonable control. These limits do not apply where prohibited by law.

Indemnification

You agree to indemnify and hold harmless Incredibill Inc., its contractors and licensors, and their respective directors, officers, employees, and agents from claims and expenses, including legal fees, arising from your use of the Services, your content, or your violation of this Agreement, to the extent permitted by applicable law.

Governing law and general terms

Except where applicable law provides otherwise, this Agreement and your use of the Services are governed by the laws of Delaware, United States, excluding conflict-of-law provisions. The proper court venue is the state and federal courts in Delaware.

Except for claims for injunctive or equitable relief or intellectual property claims, which may be brought in any competent court without posting a bond, disputes under this Agreement will be finally settled under the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. (JAMS), by three arbitrators appointed under those rules. Arbitration will take place in Delaware in English, and the decision may be enforced in any court. The prevailing party in proceedings to enforce this Agreement is entitled to costs and legal fees.

This Agreement, together with any applicable written service agreement, sets out the terms governing the Services. An expressly agreed written service term takes precedence over a conflicting general term here. If a provision is invalid or unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver of future enforcement.

You may assign your rights to a party that agrees to be bound by this Agreement; we may assign our rights under it. This Agreement binds the parties and their successors and permitted assigns. If a translation differs from the English version, the English version controls.
